These Terms and Conditions govern the provision of services by WorkingMouse Pty Ltd (“WorkingMouse”, “we”, “us” or “our”) to you, the client (“you” or “the client”). By making a booking and submitting payment through our online booking system, you accept these Terms and Conditions in full.
Services
WorkingMouse will provide the services described at the time of booking or as otherwise confirmed in writing. Services may include software development, platform engineering, API configuration, support, and related consulting. Unless expressly agreed in writing, our services do not include security audits, penetration testing, or legal or regulatory compliance reviews. Our services are provided in accordance with professional standards and with reference to our Information Security Management System (ISMS) and Quality Management System (QMS).
Engagement and Term
The engagement commences on the date of booking and continues until the agreed services are completed, unless terminated earlier in accordance with these Terms. Either party may terminate the engagement by giving twenty-eight (28) days’ written notice. Immediate termination may occur if either party commits a material breach that is not remedied within seven (7) days of notice, or if either party becomes insolvent.
Fees and Payment
All fees are payable at the time of booking unless otherwise agreed in writing. Where additional services are requested, we will provide a separate proposal or agreement before commencing such work. If payment is not received when due, we may suspend or cancel the services. All fees are exclusive of GST unless otherwise stated.
Client Responsibilities
You are responsible for providing complete, accurate and timely information, access and feedback necessary for us to deliver the services. We are entitled to rely on the information provided by you and are not liable for loss or delay caused by information that is inaccurate, incomplete or not provided in a timely manner.
Ownership and Use of Materials
All original documents, data and materials provided by you remain your property. WorkingMouse may retain copies for compliance and record-keeping purposes. Advice, reports or deliverables prepared by us are for your sole use and must not be provided to any third party without our prior written consent.
Confidentiality
Both parties must maintain the confidentiality of all information obtained in connection with the engagement, except where disclosure is required by law or necessary to deliver the services. These obligations survive termination of the engagement.
Privacy and Data Protection
WorkingMouse may collect and use personal information in the course of providing services. You confirm that any personal information you provide has been collected in compliance with the Privacy Act 1988 (Cth) and that you are entitled to disclose it to us. We will handle personal information in accordance with our ISMS, privacy policy, and applicable law.
Outsourced Services
We may engage third-party contractors or service providers to assist in delivering the services. Where personal information is shared, reasonable steps will be taken to ensure compliance with the Privacy Act and the Australian Privacy Principles.
Limitation of Liability
Our liability is limited by a scheme approved under Professional Standards Legislation. Further information is available from the Professional Standards Councils’ website at https://www.psc.gov.au. We are not liable for any indirect or consequential loss.
Force Majeure
Neither party will be liable for any delay or failure to perform obligations under this agreement where the delay or failure arises from circumstances beyond reasonable control, including natural disasters, acts of government, war, terrorism, industrial disputes, or failures of communication or internet systems.
Electronic Communications
You consent to communication by electronic means, including email and SMS. You acknowledge that electronic communications are not always secure or reliable and agree that we are not responsible for any loss arising from their use.
Governing Law
These Terms and Conditions are governed by the laws of Queensland, Australia. Each party submits to the exclusive jurisdiction of the courts of Queensland in relation to any dispute arising under them.
